LIFE UNITY COMMUNITY OPERATING RULES & GOVERNANCE FRAMEWORK

Effective date: These Rules take effect from the date they are published on the Life AI and/or Life Unity platform(s), unless Life AI otherwise notifies in writing.

1. INTRODUCTION AND SCOPE OF APPLICATION

1.1 Acceptance and Binding Effect

By accessing, using, registering an account, participating in, or taking any other action within Life Unity ("Life Unity"), including but not limited to participating in, creating, administering or coordinating any group/community, or using community-operation tools, each user/member ("Member") confirms that he/she/it has read, understood and agrees to be bound by the following documents, as updated by Life AI from time to time:

  1. These Life Unity Community Operating Rules & Governance Framework ("Rules");
  2. Life AI Terms & Conditions of Use;
  3. Privacy Policy, Community Code of Conduct, and other relevant policies/regulations duly published by Life AI.

Where Life AI updates any of the documents above, the Member's continued access to or use of Life Unity after the update shall be deemed acceptance of such amendments and supplements.

Life AI administers Life Unity only at the platform level (including but not limited to technical operations and compliance control in accordance with these Rules and relevant policies). Communities/groups self-organized by Members within Life Unity (including Validators) are independent communities that are self-governed by Members and solely responsible for their activities. Nothing in these Rules shall be construed as Life AI directly operating, sponsoring, guaranteeing or bearing joint liability for any activities/arrangements internal to Members or between Validators, except to the extent mandatorily required by applicable law.

1.2 Statement on the Non-Financial Nature

Life Unity is built and operated as a technology-social platform with the core objective of promoting a healthy lifestyle, enhancing health-care awareness, and connecting communities of users who share the same values.

Accordingly, Life Unity and all mechanisms operating within it:

  1. are not a financial product, securities, derivatives, investment fund, capital-raising program, or any form of investment governed by laws on securities or financial investment;
  2. are not, and do not operate as, a cryptocurrency platform, e-wallet, digital-asset exchange, or any other financial intermediary infrastructure/service under applicable law;
  3. do not commit to, and do not provide, any assurance regarding profits, interest, dividends, passive income, or the ability to convert participation in Life Unity into fiat currency, in any form;
  4. any point unit (Life Point - LP), title, or recognition mechanism in Life Unity serves solely to recognize contributions and for internal operations, ranking, and determining eligibility to access non-financial utilities (if any) within the Life AI ecosystem.

2. NATURE OF LIFE UNITY

2.1 Operating Purpose

Life Unity is a community-connection feature within the Life AI ecosystem, designed to promote a healthy lifestyle, raise health-care awareness, and encourage Members' proactive participation in community activities. Life Unity is operated as a community module that is independent in terms of internal governance and operations.

In essence, Life Unity is a community participation mechanism with internal recognition, under which Members not only use the platform's services but are also encouraged to interact, contribute, and proactively organize community groups to spread positive values.

Life Unity applies an internal contribution-recognition mechanism (Proof of Serving Life - PoL), whereby positive actions that have a real impact on personal and community health may be recorded and assessed by the system for the purposes of governance, ranking, and improving the quality of community operations; this does not give rise to any financial rights, payment obligations, or benefit commitments.

2.2 Operating Mechanism

Life Unity operates on the basis of community groups voluntarily formed and self-governed by Members under the platform's general principles ("Validators").

Validators are not affiliates, representatives, branches or authorized partners of Life AI; rather, they are independent communities proactively organized by Members and responsible for their own operations when participating in and using the tools and features provided by Life Unity.

Life AI issues operating principles, technical standards and platform-level compliance control mechanisms to ensure transparency, safety and overall order, but does not participate in, directly manage, directly control, or assume responsibility for the specific activities of any Validator.

This model is designed to encourage community proactiveness and self-governance responsibility, without giving rise to any relationship of authorization, representation or joint liability between Life AI and any Validator.

3. DEFINITIONS

3.1 "Validator" means a self-governing community group within Life Unity, voluntarily formed and operated by Members to organize, connect and develop health-related community activities, consistent with the objectives and principles for using the platform published by Life AI from time to time. A Validator is not an affiliate, branch, representative or authorized partner of Life AI. The term "Validator" in Life Unity is used purely as an internal community governance term, for the purposes of organizing and coordinating community activities on the platform.

3.2 "Validator Cabinet" means the governing body of a Validator, comprising the Main Validator and the Founding Validators. The Validator Cabinet is responsible for setting operating directions of the community within the Validator, organizing implementation of Validator activities, supervising compliance, and organizing and applying internal recognition mechanisms to reflect Members' contribution levels transparently and fairly within the Validator.

3.3 "Main Validator" means the Member who initiates and establishes a Validator, satisfies the eligibility conditions, and is activated to use the Main Validator feature through Life Unity's system process. Activation of this feature does not constitute an appointment, authorization or representation on behalf of Life AI. The Main Validator bears primary responsibility for the Validator's development strategy and operating culture, and serves as the Validator's point of contact in communications with Life AI and Life Unity.

3.4 "Founding Validator" means core Members of a Validator Cabinet, invited and designated directly by the Main Validator under the Validator's internal mechanism. Founding Validators support coordination of activities, management of the Delegator community, and supervision of compliance with operating rules, to ensure the Validator's stable and sustainable operation.

3.5 "Delegator" means a Member who participates in Life Unity through a Validator to contribute effort, time and commitment to community activities. A Delegator may freely choose to join or leave any Validator based on his/her/its own assessment of that Validator's effectiveness.

3.6 "Founding Delegator" means a Delegator who participates during the Validator's initiation stage and helps build the Validator's initial foundation.

3.7 "Life Point" ("LP") means the sole internal contribution-recognition point unit within the Life AI ecosystem. LP has absolutely no cash conversion value and is neither designed nor intended to become a means of payment, financial asset, or tradable asset under applicable law. Within Life Unity, LP is used as a quantitative measure of a Member's reputation and contributions to the system.

3.8 "LP Commit" means the Responsibility Commitment mechanism applied under Life Unity's technical process. When choosing to participate in Life Unity under certain roles or conditions, a Member agrees to place a quantity of LP into a committed status for a Commitment Period, as a technical condition for operational risk control and to ensure security, stability and integrity of the system. LP Commit does not generate interest or financial profits, is not deposit or investment in nature, and does not constitute any commitment of financial benefits to Members.

3.9 "Commit Pool" means the total amount of LP Commit of the Validator Cabinet and the Delegators within the same Validator, used as an indicator of that Validator's overall level of commitment.

3.10 "Validator Status" means a Validator's operating status, classified as follows:

  1. Pending : the initiation stage, where the Validator is in the process of meeting the establishment conditions/standards under these Rules and the Life Unity system requirements applicable from time to time.
  2. Finalizing : the Validator has reached the condition of 10,000,000 LP Commit and is in the process of finalizing the Validator Cabinet and completing the conditions/standards under these Rules to be recorded by the system as Active.
  3. Active : the Validator meets the conditions/standards at the time of assessment and is recorded by the system as Active.
  4. Expired : a status applicable during the Pending or Finalizing stage when the Validator fails to meet or complete the establishment conditions under these Rules within the time limit set by the Life Unity system. When recorded as Expired, the Validator establishment process terminates and the LP Commit will be returned to each Member's Life AI account in accordance with the system's operating mechanism.
  5. Inactive : a status applicable to a Validator that was previously Active but no longer maintains the minimum operating conditions/standards under these Rules as specified in Article 5.4

3.11 "Proof of Serving Life" (PoL) means the community performance evaluation criteria system used by Life AI for internal contribution recognition and ranking purposes on a periodic basis, as further detailed in Article 7.

  1. Proof of Work (PoW) : measures the level of community outreach created by the Member/Validator.
  2. Proof of Commitment (PoC) : measures the level of long-term commitment (based on the total amount of LP currently in committed status and the corresponding commitment period).
  3. Proof of Impact (PoI) : measures the real value created (e.g., the level of valid usage of health services/products within the ecosystem).

PoL indicators do not constitute any financial rights, investment entitlements, or payment obligations of Life AI.

3.12 "Commitment Period" means the period during which LP is maintained in LP Commit status, determined by a Member's role as follows:

  1. Main Validator and Founding Validator : 36 months (03 years) plus the remaining commitment period of the VIP Pass program at the time of commitment.
  2. Founding Delegator : 12 months (01 year) plus the remaining commitment period of the VIP Pass program at the time of commitment.

4. ELIGIBILITY AND MEMBER STATUS

To ensure a healthy, transparent and safe community environment, any user wishing to participate in Life Unity under any role (including Main Validator, Founding Validator or Delegator) must fully satisfy the following conditions:

4.1 Valid Account

The Member must hold a valid Life AI account that has been activated and remains in normal active status in accordance with the Life AI Terms & Conditions of Use applicable from time to time.

4.2 Verified User

The Member must complete verification steps as prescribed by Life AI to prevent fraud, creation of fake accounts, or unauthorized use of the system.

Verification measures may include, depending on the case and subject to applicable law: identity verification (KYC) where applicable, biometric verification, or other equivalent authentication methods. The collection, processing and storage of verification data shall be conducted in accordance with the Privacy Policy and applicable data protection laws.

4.3 Compliance Eligibility

The Member must not fall into any of the following cases:

  1. being restricted, temporarily suspended or terminated from using Life AI due to violations of the Life AI Terms & Conditions of Use, these Rules, or relevant policies;
  2. having recorded fraud, system abuse, or conduct that seriously affects the integrity of Life Unity, as reasonably and in good faith assessed by Life AI.

Life AI reserves the right to refuse, restrict or revoke a user's eligibility to participate in Life Unity where the user fails to satisfy, or ceases to satisfy, the foregoing conditions.

5. PROCESS FOR ESTABLISHING AND OPERATING A VALIDATOR

The process for establishing and operating a Validator is designed by Life AI as a platform-level operating framework to ensure that communities formed within Life Unity meet standards of commitment, stability and community self-governance capacity, consistent with the sustainable development objectives of the ecosystem. This process does not give rise to any financial benefits or payment obligations on the part of Life AI.

5.1 Phase 1: Registration & Initiation (Registration Phase)

This phase is intended to establish the Main Validator's initial operating capacity and the Validator's core governance structure.

Step 1: Application submission:

  • The Main Validator completes the Validator establishment application form in the app.
  • Selects a name for the community.
  • The Life Unity system will check eligibility conditions and activate the "Main Validator" role (temporary).

Step 2: Establishment of the Validator Cabinet:

  • After the system records that the establishment conditions are satisfied, the Main Validator logs in and sends invitations to up to four (04) other Members to become Founding Validators.
  • The maximum number of members in a Validator Cabinet is five (05) persons (except for special cases approved by Life AI). This is the core team responsible for operations within the Validator.

Step 3: Commitment challenge:

  • To meet the minimum operating conditions and support operational risk control, the Main Validator and the Founding Validators shall collectively perform LP Commit.
  • System requirement: The entire Validator Cabinet must jointly commit LP to reach 10,000,000 LP Commit within 30 days from the initiation date (an additional 30-day extension may be granted with a legitimate reason and approval). This LP Commit threshold is a technical condition intended to ensure community stability and prevent fraud, and is not a condition for receiving any financial benefit or payment.
  • In addition, the Main Validator and each Founding Validator may invite up to five (05) Founding Delegators to participate and help achieve this target.

Important notes:

  • If the target is achieved within the required time: the Validator moves to the Finalizing phase.
  • If the target is NOT achieved: the Validator is deemed to have failed establishment and is moved to Expired status. All LP Commit made will be returned by the system to each Member's Life AI account.

5.2 Phase 2: Organizational Finalization (Finalizing Phase)

Once the system records that the Validator has reached 10,000,000 LP Commit, its status will automatically change to Finalizing. In this phase, the Validator Cabinet must complete the staffing structure:

Step 4: Review of the Validator Cabinet : review and add Founding Validators (if necessary) to ensure a complete operating structure.

Step 5: Finalization of Founding Delegator groups:

  • Each Validator Cabinet member (including the Main Validator and each Founding Validator) may continue inviting the full Founding Delegator group for himself/herself (standard: 5 persons per group).
  • Condition: each Founding Delegator must maintain a minimum LP Commit of 200,000 LP to be recorded as valid by the system.
  • Balancing rule: the total LP Commit of the Delegator group under a Founding Validator must not exceed the total LP Commit of that Founding Validator.

Step 6: Activation submission:

  • The Main Validator conducts a final review and selects the "Submit to Life AI" function to request the system to check compliance with these Rules for status recording. Such review is a recording step under the system mechanism and does not give rise to any authorization, representation, sponsorship or joint legal liability relationship between Life AI and the Validator.

5.3 Phase 3: Official Operation (Active Phase)

After the Validator satisfies the system conditions and is recorded by Life Unity, it becomes Active. This is when the community officially operates and creates value.

Step 7: Operations & governance:

  • Implement the community development strategy as determined by the Main Validator and the Validator Cabinet during the establishment process.
  • Issue internal policies regarding contribution recognition and Member support, provided that such policies do not conflict with these Rules and Life AI policies.

Step 8: Community scaling:

  • Expand invitations to general Delegators to participate.
  • Guide Members to conduct value-creating activities (Proof of Work/Commitment/Impact).

Step 9: Standard maintenance:

  • The Validator must continuously maintain total LP Commit of at least 10,000,000 LP. This minimum maintenance threshold may be adjusted by Life AI from time to time based on system operating requirements.
  • If the total LP Commit falls below the required threshold, the Validator immediately loses Active status and will be recorded by the system as Inactive in accordance with the mechanism set out in Article 5.4
  • Member protection mechanism: to ensure that contribution recognition is not disrupted, if the Validator fails to restore its status under Article 5.4, technical measures or alternative operating arrangements may be implemented in accordance with Article 5.4, including proposing that Members join other Validators that are Active.

5.4 Inactive Status

5.4.1 A Validator will be moved to Inactive status if it has been recorded as Active but fails to maintain the minimum LP Commit threshold required by these Rules.

5.4.2 While Inactive, the Validator has three (03) months to restore and re-satisfy the conditions for maintaining Active status. After this period, if the Validator does not re-satisfy the conditions above, it will remain Inactive, and the system may, under Life Unity's operating mechanism, apply technical measures or alternative operating arrangements to ensure that Members' contribution recognition is not disrupted, including proposing that Members choose to join other Validators that are Active.

6. OPERATING RIGHTS AND CONTRIBUTION-RECOGNITION MECHANISMS

Life Unity establishes a framework of operating rights and contribution-recognition mechanisms to reflect Members' participation, commitment and contributions during the formation and operation of the community.

The operating rights and recognition mechanisms in this Article are not financial incentives, do not constitute payment obligations, and do not create any investment rights or income.

6.1 Operating Autonomy

Under Life Unity's operating mechanism and within the scope of these Rules, the Main Validator and the Validator Cabinet have autonomy over internal operations within the Validator, including:

6.1.1 Developing and applying internal rules for community operations, provided that they do not conflict with these Rules and Life AI rules;

6.1.2 Organizing, guiding and managing Members' activities within the Validator;

6.1.3 Formulating community development directions to enhance operating effectiveness and the level of contribution recognition according to Life Unity's internal criteria.

6.2 Periodic Contribution Recognition

6.2.1 Under Life Unity's operating mechanism, Life AI may record and aggregate the operating indicators of Validators on a periodic assessment cycle, based on PoL criteria.

6.2.2 Based on the assessment results, Life AI may record each Validator's contribution level through internal contribution-recognition points (LP) or equivalent operating tools, for governance, ranking and operation of the Life Unity system.

6.2.3 The recognition described above does not constitute a legal or financial obligation of Life AI, does not guarantee frequency, scale or value, and does not give rise to any right of request, complaint or claim by Members.

6.3 Right to Allocate Recognition Points Within a Validator

6.3.1 Within a Validator, the Validator Cabinet may develop and apply internal recognition mechanisms to reflect the relative contribution levels between Founding Validators and Delegators.

6.3.2 Such recognition is valid only within the Validator's internal operations and shall not be construed as financial benefit distribution, nor give rise to any responsibility, obligation or guarantee by Life AI in relation to the Validator's internal arrangements.

6.3.3 Life AI does not intervene in, is not responsible for, and will not resolve disputes arising from such internal recognition mechanisms.

6.4 Founding Member Title

6.4.1 Members recognized with the "Founding" title are those who participate in the establishment stage and build the Validator's initial foundation.

6.4.2 The title recognizes early participation and contribution during the Validator's establishment stage, and may be accompanied by certain non-financial priorities or advantages for the community from time to time. Any such priorities (if any) are operational/platform-based only, are not monetized, are not guaranteed to continue, and may change.

6.4.3 The "Founding" title is issued only during the system's launch stage and is not guaranteed to be maintained or extended to later stages.

7. PERFORMANCE EVALUATION SYSTEM (PROOF OF SERVING LIFE - PoL)

Life AI applies the Proof of Serving Life (PoL) system as an internal evaluation and ranking tool to reflect the participation, commitment and actual impact of Validators within the Life Unity ecosystem in each operating cycle. PoL is used for community governance, supervision and operations, and does not constitute any financial reward mechanism, revenue sharing, or payment obligation in any form.

7.1 Proof of Work (PoW) - Community Outreach

7.1.1 Definition: PoW reflects the scale and activity level of a Validator's community through actual and valid participation behaviors.

7.1.2 Recognition basis: PoW is recognized based on the number of validly verified Life IDs introduced and kept active by the Validator and its Delegators, pursuant to technical criteria prescribed by Life AI from time to time.

7.1.3 Operating purpose: to encourage the spread of health values and build real communities, while excluding fake-account creation or system manipulation.

7.2 Proof of Commitment (PoC) - Participation Commitment

7.2.1 Definition: PoC reflects the level of commitment and stability of the Validator collective in participating in Life Unity.

7.2.2 Recognition basis: PoC is determined based on:

  1. the total amount of validly maintained LP Commit; and
  2. the corresponding commitment period of such LP Commit, in accordance with operating criteria established by Life AI within the Life Unity system.

7.2.3 Operating purpose: a Validator with a larger commitment amount and longer commitment period will be assessed as more credible, and thus prioritized in internal ranking/assessment. This mechanism filters out short-term and non-serious groups.

7.3 Proof of Impact (PoI) - Actual Impact

7.3.1 Definition: PoI reflects the actual impact created by the Validator community's activities in Life Unity.

7.3.2 Recognition basis: based on the level of valid usage of services/products within the ecosystem.

7.3.3 Operating purpose: to ensure that Life Unity develops based on actual needs and real impact, and to avoid creating superficial indicators or speculative activities.

7.4 Principles for Applying PoL

7.4.1 PoL is an internal evaluation system and is not a commitment of any rights, income or financial benefits to Members.

7.4.2 Life AI reserves the full right to adjust:

  1. criteria, weights and calculation methods for PoL;
  2. the assessment cycle;
  3. or the scope of application of PoL, to align with operating requirements and applicable law from time to time.

7.4.3 Any change or adjustment to the PoL system does not give rise to any compensation obligation or legal liability of Life AI.

8. PROHIBITED CONDUCT AND ENFORCEMENT MEASURES

8.1 Applicable Principles

To protect the legality, transparency and safety of Life Unity, Life AI applies a "Zero Tolerance" policy toward the violations below, whether such conduct is carried out directly on Life Unity or in any other manner related to Life Unity.

8.1.1 Fraud & Gaming:

Including but not limited to any conduct intended to fabricate, manipulate or unlawfully interfere with the contribution-recognition mechanism, performance evaluation or operations of Life Unity, such as creating, using or controlling multiple accounts to manipulate PoL indicators (including PoW, PoC, PoI) or to obtain contribution recognition disproportionate to actual contributions.

8.1.2 Misrepresentation of the Nature of Life Unity:

Including but not limited to the following acts:

8.1.2.1 Promoting, describing or publicizing Life Unity in any manner as a financial investment product; a profit-making opportunity; a get-rich program; or a mechanism that commits to profits, interest, dividends, or future asset value appreciation.

8.1.2.2 Using financial or investment terms, images or expressions such as "interest", "dividends", "capital investment", or equivalent concepts when inviting Members to participate, causing misunderstanding of Life Unity's non-financial nature.

8.1.3 Brand abuse or impersonation:

Including but not limited to the following acts:

8.1.3.1 Unauthorized use of Life AI's name, logo, images or materials to create websites, social media groups, or fake media channels for scamming or personal gain.

8.1.3.2 Impersonating Life AI staff or representatives to collect money, solicit capital contributions, or request Members to provide personal or confidential information.

8.1.4 Unlawful solicitation and community disruption:

Including but not limited to the following acts:

8.1.4.1 Creating dishonest invitations and making false promises of non-existent financial benefits to entice Members to leave other Validators or join Life Unity based on misleading information.

8.2 Enforcement Measures

8.2.1 Depending on the nature and severity of the violation, Life AI may, based on its reasonable assessment and operating mechanisms, apply one or more of the following measures:

8.2.1.1 Warning;

8.2.1.2 Temporary suspension or revocation of roles within a Validator;

8.1.2.3 Adjustment or invalidation of relevant PoL indicators;

8.1.2.4 Other measures in accordance with these Rules and Life AI policies.

8.2.2 The application of measures under this Article does not give rise to any compensation obligation, does not create any legal or financial liability for Life AI, and does not affect Life AI's other rights under applicable law.

9. DISCLAIMERS

The Member confirms that he/she/it has read, understood and fully accepted the following disclaimers before participating in Life Unity.

9.1 Disclaimer Regarding Life Point (LP)

Life AI expressly affirms that Life Point (LP) is an internal recognition point unit and is not cryptocurrency, a financial asset, a means of payment, or an investment instrument in any form.

Life AI does not commit to, warrant, or assume responsibility for:

  1. any conversion value of LP into fiat currency;
  2. the ability to transfer, buy, sell or exchange LP outside the Life AI system.

LP may be adjusted, the recognition method may be changed, or LP use may be discontinued pursuant to Life AI's operating policies from time to time. Members bear all risks arising from accumulating, using or having expectations relating to LP.

9.2 Disclaimer for Internal Disputes

Life Unity is a technology platform that provides tools to support community governance. Life AI does not participate in, intervene in, or assume responsibility for any disputes, complaints or conflicts of interest arising between Members, including but not limited to:

  1. disputes between Main Validators, Founding Validators and Delegators;
  2. disagreements related to allocation of internal contribution recognition points;
  3. private commitments or arrangements (oral or written) that Life AI does not record or administer within the Life Unity system;
  4. transactions or agreements not recorded or not implemented through the Life Unity system.

9.3 Disclaimer for System Risks and Force Majeure Events

Life AI shall not be liable to compensate for any direct or indirect damages arising from: force majeure technical incidents (such as cyberattacks, transmission failures, natural disasters), scheduled system maintenance previously notified, or sudden changes in laws/policies/regulations of state authorities in the Member's jurisdiction that affect, interrupt or terminate Life Unity operations.

9.4 Right to Adjust Operating Mechanisms

To ensure stability and sustainable development of the ecosystem, Life AI reserves the right, at its reasonable discretion, to adjust, amend or update: formulas, criteria and evaluation methods for PoL; mechanisms and allocation levels for contribution recognition points; Validator ranking criteria; or the scope and manner of Life Unity operations.

Such adjustments do not constitute any compensation obligation and do not create any financial commitments to Members.

9.5 Updates to These Rules

9.5.1 Life AI reserves the right, at its sole discretion, to:

9.5.1.1 amend, supplement or update these Rules;

9.5.1.2 change Life Unity's operating mechanisms;

9.5.1.3 adjust PoL criteria, formulas and evaluation methods;

9.5.1.4 adjust contribution-recognition point allocation mechanisms, role scope and other related rules.

9.5.2 Adjustments under this Clause may be made at any time when Life AI deems necessary for:

9.5.2.1 ecosystem stability;

9.5.2.2 compliance with applicable law in the relevant jurisdiction;

9.5.2.3 or Life Unity's development direction.

9.5.3 Any adjustment or update to these Rules takes effect from the time Life AI officially publishes it on the Life AI platform, or at another time determined and announced by Life AI.

9.5.4 A Member's continued participation in or use of Life Unity after these Rules are updated shall be deemed that the Member has read, understood and accepted all amendments and supplements.

9.5.5 Any adjustment or update to these Rules:

9.5.5.1 does not give rise to any compensation obligation;

9.5.5.2 does not constitute infringement of Members' rights;

9.5.5.3 does not create any additional financial or legal liability for Life AI.

9.5.6 If a Member does not agree with an update, the Member has the right to cease participating in Life Unity in accordance with the mechanism prescribed by Life AI from time to time.

9.6 Disclaimer for Misrepresentation and Brand Abuse

9.6.1 Life AI is not responsible for any conduct carried out by Members, including but not limited to:

9.6.1.1 making false statements; or

9.6.1.2 misleading promotion; or

9.6.1.3 abuse of the Life AI brand,

whether or not such conduct relates to Life Unity.

9.6.2 Any Member engaging in conduct under this Clause shall be solely responsible to Life AI and under applicable law in the relevant jurisdiction.

9.7 Disclaimer for Off-Platform Activities

Life AI administers only within the scope of providing and operating the platform/feature. Life AI is not responsible for any transactions, arrangements, information exchange or risks arising on third-party platforms (including but not limited to Telegram, Facebook, Zalo, etc.), even if such groups are created by a Life Unity Validator. Participation in third-party platforms is the Member's own decision and risk.

9.8 Disclaimer and Allocation of Responsibility for Validators

9.8.1 The Member acknowledges and agrees that Validators are independent self-governing communities voluntarily formed and operated by Members, and are not affiliates, branches, representatives, agents or authorized partners of Life AI.

9.8.2 To the fullest extent permitted by applicable law, Life AI does not participate in operating, does not directly control, and does not bear any joint liability for any activities of any Validator and/or Members within a Validator, including but not limited to:

  1. developing, applying or enforcing a Validator's internal rules;
  2. any statements, communications, promotions, invitations, advice or commitments made by a Validator or Members;
  3. any arrangements, commitments, internal allocation mechanisms (if any), collections/expenditures, donations, fees, fundraising, or transactions (if any) between Members, between Validators, or with any third party;
  4. online or offline activities, community events, or activities conducted on third-party platforms organized by a Validator or Members.

9.8.3 Life AI's issuance of these Rules, provision of tools, establishment of operating standards, or application of technical/compliance measures under these Rules shall not be construed as Life AI participating in operating any Validator, approving the Validator's content/activities, or giving rise to any sponsorship, guarantee or legal liability for such activities.

9.8.4 Members bear all risks and responsibilities arising from participating in or operating within a Validator; any complaints, disputes or claims arising from Validator activities shall not give rise to any compensation obligation or legal liability of Life AI, except where mandatorily required by applicable law.

10. INDEMNIFICATION

10.1 To the fullest extent permitted by applicable law, the Member agrees to defend, indemnify and hold harmless Life AI (including but not limited to its management, employees, representatives and relevant partners) against any claims, demands, liabilities, losses, costs or reasonable legal fees (including attorneys' fees) arising out of or relating to:

10.1.1 the Member's breach of these Rules, the Life AI Terms & Conditions of Use, or other Life AI policies;

10.1.2 the Member's violation of applicable law or infringement of any third party's lawful rights and interests;

10.1.3 disputes, complaints or conflicts arising between the Member and other Members, other Validators, or any third party, not attributable to Life AI's willful misconduct or direct legal obligations.

10.2 Indemnification under this Article does not constitute an admission of liability and does not limit any other rights, remedies, protections or disclaimers available to Life AI under these Rules or applicable law.

11. NO AUTHORIZATION - NO REPRESENTATION

11.1 The parties agree that the relationship between Life AI and Members (including but not limited to Main Validators, Founding Validators and Delegators, including Founding Delegators) is a relationship between independent entities.

11.2 Nothing in these Rules shall be construed as:

11.2.1 establishing an employment relationship, personal services contract, joint venture, partnership or authorized agency between Life AI and any Member;

11.2.2 granting any Member any right of representation, spokesperson authority, or legal binding authority on behalf of Life AI;

11.2.3 permitting any Member to enter into agreements, make commitments, provide guarantees, market or make any statements in the name of Life AI, unless Life AI has issued separate lawful written authorization.

11.3 Any acts, statements or commitments made by a Member outside the Life Unity system or without Life AI's written approval shall be deemed personal acts, and the Member shall bear full legal responsibility for any consequences.

12. GOVERNING LAW

12.1 These Rules shall be governed by, construed and enforced in accordance with the laws of Singapore, excluding any conflict of laws principles that may refer to the laws of any other country or territory.

12.2 The choice of Singapore law as the governing law does not constitute and does not give rise to any obligation for Life AI to register, obtain licenses, seek approvals, or obtain recognition to operate in any other country or territory, except where mandatorily required by applicable law in the Member's jurisdiction.

12.3 If any provision of these Rules is determined by a competent authority to be invalid, void or unenforceable under applicable law in a particular country or territory, then:

12.3.1 Such provision shall be construed, adjusted or applied to the maximum extent permitted by the laws of that country or territory; and

12.3.2 The remaining provisions of these Rules shall remain in full force and effect and shall not be affected.

12.4 Dispute Resolution

To the fullest extent permitted by applicable law, and for disputes arising out of or relating to Life Unity, community operating mechanisms, Validator roles, LP Commit, PoL, or these Rules, the parties agree that such disputes shall be governed by Singapore law and fall within the jurisdiction of the competent courts in Singapore, unless mandatory law in the Member's country of residence provides otherwise and cannot be excluded.

For disputes purely arising from a Validator's internal activities among Members, Life AI is not a disputing party and has no obligation to participate in resolution in any form.
